The information made available to you through this website does not constitute an offer to sell or a solicitation of an offer to purchase interests in any fund sponsored by DCM. Any such offer or solicitation will be made only through a private offering pursuant to a confidential private placement memorandum and related subscription documents. You represent that you are at least 18 years of age and legally capable of entering into these Terms. Use of the Site is prohibited where it violates applicable laws or regulations.
5. Restrictions on Use
You agree to access the Site solely for your own noncommercial use and not for resale, distribution, or use by any other person or entity. You shall not (a) use the Site for any unlawful purpose; (b) attempt unauthorized access to, probe, or test the vulnerability of the Site or related systems; (c) use bots, crawlers, or scraping tools to harvest large portions of the Site without DCM’s prior written permission; or (d) use, transfer, distribute, or dispose of any information from the Site in a manner that could damage DCM or its clients, investors, or portfolio companies. Permission to use the Site terminates automatically upon any breach of these Terms.

Your use of the Site is subject to the DCM Privacy Notice and DCM’s information safeguarding policies. DCM complies with applicable privacy requirements, including the
SEC’s Regulation S-P, and maintains a Written Information Security Program (WISP) addressing, among other things: (a) provision of privacy notices upon inception and annually; (b) procedures to safeguard client and investor records and information; (c) employee training and incident response; and (d) access controls for terminated personnel.
15. Electronic Communications and Delivery
Where permitted, DCM may deliver certain disclosures, agreements, notices, and other communications electronically, including via the Site, email, or client portals. By using the Site, you consent to receive electronic communications and acknowledge that electronic communications constitute "writing" for legal purposes, subject to applicable law and your client agreements.
16. Advertising and Marketing
Website content may constitute advertising under applicable rules. DCM’s advertising and marketing practices, including presentation of performance, testimonials and endorsements, hypothetical performance, and marketing of private funds, are governed by DCM’s Advertising and Marketing policies and procedures.

Any claim or action arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.
20. Miscellaneous
No delay or failure by DCM to enforce any provision of these Terms constitutes a waiver. If any provision is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force. These Terms constitute the entire agreement between you and DCM with respect to the Site and supersede all prior or contemporaneous communications.
